Starker 1031 Exchanges

First Nations Tax Deferred Exchange Corp.

First Nations Bank has teamed up with First Nations Tax Deferred Exchange Corp. (FNTDEC) to offer Qualified Intermediary services for IRS Section 1031 Exchanges. All exchange funds will be held in First Nations Bank.

Generally, gains from exchanges of real and personal property are recognized for tax purposes. However, some types of exchanges do not give rise to taxable gain or deductible loss where there is an exchange for qualified like-kind property. Under the Internal Revenue Code (IRC) Section 1031 (the Code), no gain or loss shall be recognized on the exchange of property held for productive use in a trade of business or for investment if such property is exchanged solely for property of like-kind which is to be held either for productive use in a trade or business for investment, as long as the taxpayer is not in the actual or constructive receipt of money or other property before the taxpayer received like-kind replacement property.

Final regulations on like-kind exchanges issued by the Department of the Treasury, Internal Revenue Service, define four “safe harbors” in an exchange transaction, which will result in a determination that the taxpayer is not in actual or constructive receipt of money or other property before the taxpayer actually receives like-kind replacement property. The four safe harbors include (1) transferee’s exchange obligation is secured by a mortgage, a standby letter of credit, or a guarantee of a third party; (2) transferee’s exchange obligation is secured by cash or cash equivalent if such cash or cash equivalent is held in a qualified escrow account of a qualified trust; (3) use of a qualified intermediary to facilitate the exchange; and (4) the taxpayer is permitted to receive interest of a growth factor.

As such, First Nations Tax Deferred Exchange Corp.’s primary business is to facilitate tax deferred exchanges by entering into an Exchange Agreement with taxpayers. We hold the cash from the sale of relinquished property in a qualified escrow account established by First Nations Tax Deferred Exchange Corp., the taxpayer and First Nations Bank until the replacement property is acquired.
